Terms and Conditions

These Terms and Conditions govern all quotations, orders, manufacturing, supply, and delivery of goods and services provided by Sourcia Pty Ltd (“Company”, “we”, “us”, “our”).
By placing an order, requesting a quotation, approving artwork, or making payment, the client (“Client”, “Buyer”, “you”) agrees to be legally bound by these Terms.
These Terms apply to all business-to-business transactions and prevail over any terms provided by the Client unless expressly agreed in writing.
1. Nature of Supply
1.1 The Company supplies custom manufactured packaging and related services produced to Client specifications.
1.2 All goods are made to order unless explicitly stated otherwise.
1.3 Variations inherent to manufacturing and printing processes are accepted as industry standard.
2. Quotations
2.1 All quotations are valid for the period stated in the quotation or 30 days if not specified.
2.2 Prices may change due to:
- material costs
- exchange rate fluctuations
- freight cost changes
- specification changes
- supplier adjustments
2.3 Quotations are not binding until accepted in writing and deposit is received.
3. Orders and Acceptance
3.1 An order is confirmed when any of the following occurs:
- written acceptance of quotation
- payment of deposit
- written approval of artwork or production specifications
3.2 Once production begins, orders cannot be cancelled except at the Company’s discretion.
3.3 The Client is responsible for accuracy of all specifications submitted.
4. Artwork and Production Approval
4.1 The Client must review and approve:
- artwork
- structure
- dimensions
- materials
- finishes
- colours
- quantity
4.2 Written approval authorises production.
4.3 The Company is not responsible for errors approved by the Client.
5. Pricing and Payment Terms
5.1 Standard payment structure unless otherwise agreed:
- deposit prior to production (commonly 30%–70%)
- balance prior to shipment or release of goods
5.2 Deposits are non-refundable once production has commenced.
5.3 Late payments may result in:
- suspension of production
- delayed shipment
- storage charges
- interest on overdue amounts
5.4 Title to goods does not pass until full payment is received.
6. Manufacturing Tolerances
6.1 The following are accepted industry tolerances:
- quantity variance up to ±10%
- minor dimensional variation in ±2mm
- material batch variation
- finish variation
6.2 Such tolerances do not constitute defects.
7. Colour Variation
7.1 Colour appearance may vary due to:
- printing method
- substrate material
- ink absorption
- lighting conditions
- screen display differences
7.2 Due to the nature of paper and printing, a ±5% variance in colour (CMYK/Pantone) is considered industry standard and acceptable.
7.3 Exact colour matching is not guaranteed unless specifically agreed in writing.
7.3 Colour variation within commercial printing tolerance is not a defect.
8. Samples
8.1 Pre-production samples may be provided upon request.
8.2 Sample approval confirms acceptance of production standard.
8.3 Samples are generally non-refundable unless defective.
9. Inspection and Acceptance
9.1 The Client must inspect goods within 7 days of delivery.
9.2 Any claim must include:
- written description
- photographs
- quantity affected
- supporting evidence
9.3 Failure to notify within this period constitutes acceptance of goods.
10. Returns and Refunds
10.1 Custom manufactured goods are not returnable for change of mind.
10.2 Remedies are available where goods:
- are materially defective
- differ substantially from approved specifications
- are not fit for agreed purpose
10.3 The Company may elect to:
- repair
- replace
- reproduce
- partially refund
- fully refund (where legally required)
11. Order Cancellation
11.1 Orders may only be cancelled before production commences.
11.2 Where work has begun, cancellation charges apply including:
- design costs
- material procurement
- tooling
- labour
- production costs incurred
12. Shipping and Delivery
12.1 Delivery terms follow agreed Incoterms unless otherwise stated.
12.2 Risk transfers in accordance with the agreed Incoterm.
12.3 Transit time is an estimate only.
12.4 The Company is not liable for delays caused by:
- shipping carriers
- customs clearance
- port congestion
- government action
- force majeure events
13. Risk and Insurance
13.1 Risk of loss or damage passes to the Client in accordance with the agreed shipping term.
13.2 The Client is responsible for transit insurance unless otherwise agreed.
14. Storage and Handling
14.1 Goods must be stored in appropriate environmental conditions.
14.2 The Company is not responsible for deterioration caused by improper storage.
15. Limitation of Liability
15.1 To the maximum extent permitted by law, the Company’s total liability is limited to the value of the affected order.
15.2 The Company is not liable for:
- indirect loss
- consequential loss
- loss of profit
- loss of business
- market loss
- reputational damage
16. Force Majeure
16.1 The Company is not liable for failure or delay caused by events beyond reasonable control, including:
- natural disasters
- war
- pandemic
- strikes
- supply chain disruption
- transport interruption
- government restriction
17. Intellectual Property
17.1 The Client warrants it owns or is authorised to use all artwork and content supplied.
17.2 The Company is not responsible for intellectual property infringement arising from Client materials.
17.3 The Client grants us the right to display the finished products in our portfolio unless requested otherwise.
18. Retention of Title
18.1 Title to goods remains with the Company until full payment is received.
18.2 The Company may recover goods if payment is not made.
19. Governing Law
These Terms are governed by the laws of the State of South Australia.
The parties submit to the exclusive jurisdiction of its courts.
20. Australian Consumer Law
Nothing in these Terms excludes rights that cannot legally be excluded.
21. Entire Agreement
These Terms form the entire agreement between the parties unless varied in writing.
